These Terms of Service ("Terms") govern your access to and use of the Spyral knowledge management platform and related services (collectively, the "Services") provided by Spyral ("Spyral", "we", "us", or "our"), a company registered in Rotterdam, Netherlands.
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
1. Acceptance of Terms
By registering for an account, accessing our website at www.spyral.nl, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Services
Spyral provides a cloud-based, multi-tenant AI knowledge management platform designed for consulting firms. Our Services include:
- Document intelligence and semantic search capabilities
- AI-powered content generation and summarization
- Knowledge base management and organization
- Real-time team collaboration features
- Project management and access control
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, though we will make reasonable efforts to notify you of material changes.
3. Account Registration and Security
3.1 Account Creation
To use our Services, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Account Security
You agree to:
- Use a strong password and keep it confidential
- Enable multi-factor authentication (MFA) when available
- Notify us immediately of any unauthorized access to your account
- Not share your account credentials with others
3.3 Account Termination
We reserve the right to suspend or terminate your account if we believe you have violated these Terms or engaged in fraudulent, illegal, or abusive behavior.
4. User Responsibilities and Acceptable Use
4.1 Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Upload or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Use the Services to violate any applicable laws or regulations
- Attempt to gain unauthorized access to our systems or networks
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or disassemble any aspect of the Services
- Use the Services to develop competing products or services
- Upload malware, viruses, or any other malicious code
4.2 Content Responsibility
You are solely responsible for all content you upload, submit, or transmit through the Services ("User Content"). You represent and warrant that:
- You own or have the necessary rights to use and authorize us to use all User Content
- Your User Content does not violate any third-party rights, including intellectual property rights
- Your User Content complies with all applicable laws and regulations
4.3 Prohibited Content
You agree not to upload or process special category data (such as health data, biometric data, or political opinions) unless explicitly authorized and appropriate technical and organizational measures are in place.
5. Data Processing and Privacy
5.1 Data Processing
When you use our Services to upload and process documents and other content, Spyral acts as a data processor on your behalf. You, as the customer, are the data controller responsible for ensuring that your use of the Services complies with applicable data protection laws, including the GDPR.
5.2 Data Processing Agreement
For customers in the EU/EEA, a Data Processing Agreement (DPA) supplements these Terms and sets out the obligations and rights of both parties regarding the processing of personal data.
5.3 Privacy Policy
Our collection and use of personal information in connection with the Services is described in our Privacy Policy.
6. Intellectual Property Rights
6.1 Spyral's Rights
The Services, including all software, designs, text, graphics, user interfaces, visual interfaces, trademarks, logos, and other content (excluding User Content), are owned by or licensed to Spyral and are protected by copyright, trademark, and other intellectual property laws.
6.2 Your Rights to User Content
You retain all ownership rights to your User Content. By uploading User Content to the Services, you grant Spyral a worldwide, non-exclusive, royalty-free license to use, store, copy, modify, and process your User Content solely to provide and improve the Services.
6.3 AI-Generated Content
Content generated by our AI features is based on your User Content and inputs. You retain ownership of AI-generated content derived from your User Content, subject to our rights to the underlying AI technology and platform.
7. Fees and Payment
7.1 Subscription Fees
Access to certain features of the Services requires payment of subscription fees. All fees are exclusive of taxes, and you are responsible for all applicable taxes.
7.2 Billing
Subscription fees are billed in advance on a monthly or annual basis, as selected by you. Payments are non-refundable except as required by law or as expressly stated in these Terms.
7.3 Price Changes
We may change our fees at any time. We will provide you with reasonable advance notice of any fee changes, and the changes will not affect your current subscription period.
8. Warranties and Disclaimers
8.1 Service Availability
We strive to provide reliable and continuous access to our Services, but we do not guarantee that the Services will be uninterrupted, error-free, or completely secure. We are not responsible for delays, failures, or interruptions resulting from circumstances beyond our reasonable control.
8.2 AI-Generated Content
AI-generated content is provided for informational purposes only. We do not warrant the accuracy, completeness, or reliability of AI-generated content. You are responsible for reviewing and validating all AI-generated content before use.
8.3 Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPYRAL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
10. Indemnification
You agree to indemnify, defend, and hold harmless Spyral, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
- Your access to or use of the Services
- Your User Content
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
11. Term and Termination
11.1 Term
These Terms commence when you first access or use the Services and continue until terminated in accordance with these Terms.
11.2 Termination by You
You may terminate your account at any time by contacting our support team. Termination will be effective at the end of your current subscription period.
11.3 Termination by Us
We may suspend or terminate your access to the Services immediately if you breach these Terms or engage in conduct that we believe is harmful to us, other users, or third parties.
11.4 Effect of Termination
Upon termination, your right to use the Services will immediately cease. We may delete your User Content in accordance with our data retention policies, subject to applicable legal obligations.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.
12.2 Dispute Resolution
Any disputes arising out of or relating to these Terms or the Services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts of Rotterdam, Netherlands.
13. General Provisions
13.1 Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Services. Your continued use of the Services after such notification constitutes your acceptance of the updated Terms.
13.2 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Spyral regarding the Services.
13.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
13.4 Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
13.5 Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
